Terms of Service & Scope of Solutions

GENISIS operates as a boutique engineering studio and collective of senior freelance software engineers, infrastructure architects, and digital marketing specialists. We build tailored digital systems governed by a formal Commercial Proposal or Statement of Work (SOW). Our scope includes modern websites, high-converting landing pages, ethical web scraping (Python/FastAPI), high-performance APIs (Go/Node.js), custom ERP/CRM platforms, relational and distributed database clusters (PostgreSQL, MariaDB, Cassandra), S3-compatible secure multimedia storage with AES-256 encryption, on-premise local AI and private LLMs with absolute data sovereignty, intelligent n8n workflow automations, social media automations, and full-funnel digital marketing management.

All technical services are executed in iterative delivery cycles (sprints/milestones) outlined in the initial briefing. Every deliverable — whether source code, database architecture, configured S3 bucket, local AI model, or marketing automation — requires client sign-off before proceeding to subsequent stages. Timely feedback is essential to adhere to SOW timeline schedules.

Upon full financial settlement of all agreed project milestones, the client acquires complete, irrevocable ownership of the custom source code, database schemas, n8n automation scripts, creative assets, and technical documentation developed specifically for their project. Open-source libraries and standard third-party tools remain under their respective licenses.

Compensation is defined in the Commercial Proposal and structured across concrete delivery milestones. Any additional features or scope expansions beyond the signed agreement (such as adding extra database engines, new AI agents, or supplementary social campaigns) will be quoted independently as Change Requests (CR) prior to execution.

We provide a 30-day functional warranty following final project sign-off, covering free remediation of systemic defects. For long-term database management, S3 storage monitoring, local AI updates, and ongoing social media / marketing support, optional monthly SLA maintenance packages are available under separate agreement.

GENISIS implements best-in-class cybersecurity and engineering practices. We are not liable for outages caused by third-party telecom operators, unilateral policy changes or API blocks by social platforms (Meta, Google, LinkedIn), force majeure cyber events, or unauthorized server modifications performed by client personnel.

All proprietary data, database records, multimedia stored on S3, social media credentials, and strategic trade secrets shared during the collaboration are protected under strict professional confidentiality. GENISIS will never disclose, duplicate, or leverage client confidential assets without prior written consent.

Either party may terminate the agreement upon 15 business days written notice. In such events, the client pays proportionally for all verifiable milestones and services rendered to date, receiving all associated source files, database backups, S3 assets, and documentation completed up to that juncture.
